IMPORTANT — PLEASE READ. These Terms include an agreement to resolve disputes through binding individual arbitration and a waiver of class actions and jury trials (Section 17). You can opt out of arbitration within 30 days (Section 17.8). They also contain a disclaimer of warranties (Section 12) and a limitation of our liability (Section 13).
These Terms of Service (the "Terms") are a legally binding agreement between you and ScorelyPrep LLC ("we", "us", "our") governing your access to and use of Scorely, including our websites, web and mobile applications, practice questions, lessons, practice tests, reports, study plans, AI tutor and any related features (together, the "Service").
By creating an account, ticking the box to accept these Terms, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. In these Terms, "including" means "including without limitation", and headings are for convenience only.
1. Who may use the Service, and who is responsible
1.1 Minimum age. You must be at least 13 years old to use the Service. We do not knowingly allow anyone under 13 to create an account or provide personal information. If we learn that we have collected personal information from a child under 13, we will delete it and close the account. If you believe a child under 13 is using the Service, contact us at support@scorelyprep.com.
1.2 Students aged 13 to 17. If you are under 18 (or under the age of majority where you live), you may use the Service only with the permission and involvement of your parent or legal guardian, who must read and agree to these Terms.
1.3 The parent or guardian is responsible. When a parent or legal guardian ("Parent") creates an account for a student, allows a minor to use the Service, links to a student's account, or pays for a subscription, the Parent: (a) agrees to these Terms both personally and on the minor's behalf; (b) confirms they are the minor's parent or legal guardian, or are otherwise legally authorized to act for them; (c) is responsible for supervising the minor's use of the Service and for all fees; and (d) gives the commitments in Section 14 (Indemnity) for the minor's use. The Parent acknowledges that a minor may have a legal right to cancel a contract, and agrees that if a minor does so, the Parent's own obligations under these Terms continue.
1.4 What linked Parents can see. A Parent who is linked to a student's account can see that student's progress, scores and estimates, test reports and study plan, and can ask the AI tutor about them. Parents cannot read the student's own conversations with the AI tutor. Students aged 13 to 17 agree that linked Parents may see this information.
1.5 Individual use, not schools. The Service is offered directly to students and families for personal use. It is not offered to schools, districts or other educational institutions, and is not intended to receive "education records" from them. Any institutional use requires a separate written agreement with us.
1.6 Eligibility. You may not use the Service if you are barred from doing so under applicable law (including sanctions and export laws), or if we have previously terminated your account for a violation of these Terms.
2. Electronic agreement and communications
You agree that clicking or ticking a box to accept these Terms is your electronic signature and has the same effect as a handwritten signature. You consent to receive agreements, notices, receipts and other communications from us electronically, by email to the address on your account or within the Service, and agree that they satisfy any legal requirement that they be in writing. Keep your email address up to date.
3. Changes to these Terms
3.1 We may update these Terms from time to time. If we make a material change, we will update the version date above and ask you to review and accept the updated Terms before you continue using the Service; if you do not accept them, you must stop using the Service, and you may cancel any subscription as described in Section 10. Non-material changes (such as clarifications or corrections) take effect when posted.
3.2 Changes never apply retroactively. Any dispute that arose before a change is governed by the version of these Terms in effect when the dispute arose. If we change Section 17 (Dispute resolution), we will give you at least 30 days' notice, and you may reject the change by emailing support@scorelyprep.com within that period.
4. What the Service is (and is not)
4.1 An educational aid only. The Service provides study materials, practice, estimates and coaching to help you prepare for the SAT. It is a self-study tool. It is not a school, tutoring agency, admissions counselor or professional advisor, and nothing in the Service is professional, academic, admissions, legal, financial, medical, psychological or other professional advice.
4.2 Not affiliated with the College Board. SAT® is a trademark registered by the College Board, which is not affiliated with, and does not endorse, this product. The Service is independent. Practice questions, practice tests and lessons are original materials written for the Service; they are not official SAT questions and may differ from the real test in content, format, difficulty and scoring.
4.3 Changes to the Service. We may add, change, suspend or remove features, content or plans. If we remove a feature that is a significant part of a paid plan you have already paid for, you may cancel and receive a pro-rated refund of any prepaid fees for the remaining period.
4.4 Not a crisis or health service. The Service, including the AI tutor, is not a mental-health, medical or emergency service and is not monitored in real time. If you or someone you know is in crisis or in danger, contact local emergency services immediately (in the U.S., call or text 988 for the Suicide & Crisis Lifeline, or call 911).
5. No guarantee of results
5.1 We do not guarantee any score, outcome or improvement. Results depend on many factors outside our control, including effort, prior knowledge, study habits, health, test-day conditions and the test itself. We make no promise, representation or guarantee that using the Service will result in any particular SAT score, score increase, target score, percentile, college admission, scholarship, placement or any other outcome. Any statements about typical results, testimonials or examples are illustrations only.
5.2 Scores in the Service are estimates. Projected scores, practice-test scores, mastery levels, "readiness" labels, predictions and analytics are statistical estimates produced by our software for study guidance. They are not official scores, are not produced or endorsed by the College Board, may be inaccurate, and must not be relied on as a prediction of your actual SAT score or for any admissions, financial or other decision.
5.3 Targets and plans are suggestions. Target scores, study plans, schedules and recommendations are suggestions only. You are responsible for deciding how, when and how much to study, and for your own test registration, accommodations, deadlines and decisions.
6. Artificial intelligence (AI)
6.1 You agree to our use of AI. The Service uses artificial intelligence, including large language models operated by third-party providers, to power features such as the AI tutor, explanations, analysis of your mistakes, practice-set creation, study-plan suggestions, test-report narratives and the drafting of practice questions. Content generated this way may be labelled as AI-generated. By using the Service you acknowledge and consent to the use of AI in these ways.
6.2 AI can be wrong. AI-generated output may be inaccurate, incomplete, outdated, inconsistent, biased, inappropriate or misleading, may misunderstand your question, and may present incorrect information confidently. This includes AI-generated explanations, answers, worked solutions, practice questions, feedback, analysis, plans and recommendations. Content reviewed by people can still contain errors.
6.3 You are responsible for how you use AI output. AI output is provided for learning and practice only. You agree to evaluate it critically, verify anything important (for example, against official College Board materials), and not to rely on it as your sole source of information or for any decision of consequence. To the maximum extent permitted by law, we are not liable for any loss, damage, lower score or other consequence arising from your use of, or reliance on, AI-generated output.
6.4 No automated decisions about you. We do not use AI to make decisions that produce legal or similarly significant effects on you (such as admissions, eligibility or pricing decisions). AI is used to generate study content and suggestions that you choose whether to use.
6.5 Actions the AI tutor takes for you. At your request, the AI tutor can perform actions in your account, such as creating practice sets, adding or moving study-plan tasks, and updating your error log or checklist. Changes to your goals or a rebuild of your study plan happen only after you confirm them. You are responsible for reviewing the results of any action you request or confirm.
6.6 Third-party AI providers. To generate responses, we send the content of your requests and relevant study data to third-party AI providers. We design the Service to minimize the personal information shared (for example, names and contact details are removed or replaced before text is sent), but you should not enter sensitive personal information (such as contact details, passwords, government ID numbers, financial or health information) or anyone else's personal information into the AI tutor. AI providers process data under their own terms; see our Privacy Policy.
6.7 AI output belongs to you to use. As between you and us, you may use AI output generated for you for your own personal study. Output may be similar or identical to output generated for others, and we do not claim it is unique or that it does not infringe anyone's rights.
6.8 No human review of every response. AI responses are generated automatically and are not reviewed by a person before you see them. Conversations may be reviewed by authorized staff for safety, quality, abuse prevention and support, as described in our Privacy Policy.
6.9 AI rules of use. You must not use the AI features to generate harmful, unlawful, hateful, harassing or sexually explicit content; to obtain answers during any live or graded exam; to submit material you do not have the right to share; or to try to make the AI ignore its instructions, reveal confidential information or behave in unintended ways (for example, "prompt injection" or "jailbreaking").
7. Student data commitments
We use student information only to provide, secure, support and improve the Service and as described in our Privacy Policy. We do not sell student personal information, do not use it for targeted advertising, and do not build profiles of students except to provide the Service's educational features (such as skill estimates and study plans). Parents and adult users can request access to, correction of, or deletion of their or their child's personal information by contacting support@scorelyprep.com.
8. Your account
8.1 You must provide accurate information and keep it up to date. You are responsible for keeping your password confidential and for all activity under your account. Tell us immediately at support@scorelyprep.com if you suspect unauthorized access.
8.2 Accounts are personal. You may not share your account, or sell, transfer or let anyone else use it, except that a Parent may help manage a linked student's account through the features we provide.
9. Acceptable use and academic integrity
You agree not to:
- use the Service, or any content from it, during a live, proctored or graded exam, or otherwise to cheat or help anyone cheat;
- copy, reproduce, distribute, sell, publish or create derivative works from our content (including questions, explanations and lessons), except for your personal, non-commercial study;
- scrape, crawl, download in bulk, or use automated means to access the Service or collect content or data;
- reverse engineer, decompile or attempt to discover source code, models, prompts or underlying data, except where the law expressly permits it;
- probe, scan or test the vulnerability of the Service, bypass security, rate limits, usage limits or access controls, or access another user's data;
- upload malware, or interfere with or disrupt the Service or its infrastructure;
- upload content that infringes anyone's intellectual property or privacy rights, or that is unlawful, harmful, threatening, harassing, hateful or sexually explicit;
- use the Service to harass, threaten, impersonate, defraud or harm anyone, or to violate any law or anyone's rights;
- use the Service to develop a competing product, or to train any AI model.
10. Subscriptions, free trials, payments and refunds
10.1 Plans. Some features require a paid subscription. Plan features, limits (including AI usage allowances), prices and billing periods are shown in the Service before you buy. Payments are processed by our payment provider (Stripe); we do not store full card details.
10.2 Automatic renewal. Paid subscriptions renew automatically at the end of each billing period (monthly or yearly, as you choose) at the price shown when you subscribed, unless you cancel before the renewal date. You authorize us and our payment provider to charge your payment method at the start of each billing period until you cancel.
10.3 Free trial. New Student and Parent accounts start with a free trial of the length shown at sign-up (currently 7 days). No payment method is needed and you will not be charged when the trial ends. When the trial ends, access to the Service stops until you (or, for a Student, a linked Parent) subscribe to a paid plan; until then you can sign in only to choose a plan or sign out. We will remind you by email and in the app before the trial ends. We keep your account data after the trial as described in our Privacy Policy, so you can pick up where you left off if you subscribe; you can ask us to delete it at any time. If you subscribe during the trial, billing may start when the trial would have ended. Trial features and limits may differ from paid plans, and we may limit trials to one per person or household.
10.4 How to cancel. You can cancel online at any time: go to Settings & billing (or, for Parents, the Family overview page) and choose "Manage billing", or email support@scorelyprep.com. Cancellation takes effect at the end of the current billing period, and you keep access until then.
10.5 Refunds. Except as stated in these Terms or required by law, payments are non-refundable, including for partial billing periods, unused time, unused AI allowance, or dissatisfaction with results or scores. If you live in the European Union or the United Kingdom, you may have a statutory right to withdraw from a purchase within 14 days; by starting to use paid features immediately, you request that the Service begin during that period and acknowledge that your right of withdrawal may be limited or lost once the digital service has been fully provided, as permitted by law.
10.6 Price changes. We may change prices for future billing periods. We will notify you at least 30 days before a price increase takes effect for your subscription, and you may cancel before it applies.
10.7 Taxes and failed payments. Prices may exclude taxes, which you are responsible for. If a payment fails, we may suspend paid features until it is resolved.
11. Content and intellectual property
11.1 Our content. The Service and all of its content, software, design, questions, lessons, explanations and other materials are owned by us or our licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial SAT preparation. All rights not expressly granted are reserved.
11.2 Your content. You keep ownership of content you submit (such as messages, notes and prevention rules). You grant us a worldwide, royalty-free license to host, store, process, transmit and display it (including by sending it to service providers such as AI providers) as needed to operate, secure, support and improve the Service. You are responsible for your content and confirm you have the right to submit it.
11.3 Feedback. If you send us ideas or feedback, we may use them without any obligation to you.
11.4 Copyright complaints. If you believe content on the Service infringes your copyright, send a notice to support@scorelyprep.com that includes: your contact details; identification of the copyrighted work; identification of the material you believe is infringing and where it appears; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove material and terminate repeat infringers.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT, ESTIMATES, AI OUTPUT AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, quiet enjoyment, or that the Service will be uninterrupted, timely, secure, error-free or free of harmful components, or that defects will be corrected. We do not warrant that any content (including questions, answers, explanations, lessons, scores, estimates or AI output) is accurate, correct or suitable for your needs, or that using the Service will achieve any result. Applicable law may not allow the exclusion of certain implied warranties; to that extent, such warranties are limited to the shortest period permitted.
13. Limitation of liability
13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SCORELYPREP LLC, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, EDUCATIONAL OR ADMISSIONS OUTCOMES, SCHOLARSHIPS, OR TEST SCORES, arising out of or relating to these Terms or the Service (including any content, estimate, study plan or AI output), whether based on contract, tort (including negligence), strict liability or any other theory, even if we have been advised of the possibility of such damages.
13.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50).
13.3 What we do not exclude. Nothing in these Terms excludes or limits our liability for our fraud, gross negligence or willful misconduct, for death or personal injury caused by our negligence, or for any other liability that cannot be excluded or limited under applicable law. These limitations form an essential basis of the bargain between you and us, and they apply even if a limited remedy fails of its essential purpose.
13.4 New Jersey residents. If you are a New Jersey resident, the exclusions and limitations in Sections 12, 13 and 14 apply only to the extent permitted by New Jersey law, and nothing in these Terms limits any right you have under the New Jersey Truth-in-Consumer Contract, Warranty and Notice Act.
14. Indemnity
To the maximum extent permitted by law, you agree (and, for a minor, the Parent agrees on the minor's behalf) to defend, indemnify and hold harmless ScorelyPrep LLC and its owners, officers, employees, contractors and agents from and against third-party claims, and related liabilities, damages, losses, costs and expenses (including reasonable legal fees), arising out of your misuse of the Service, your content, your violation of these Terms, or your violation of any law or the rights of any third party. We will notify you of any such claim and may control its defense at our own expense.
15. Suspension, termination and account deletion
15.1 By you. You may stop using the Service at any time, and you may ask us to delete your account and personal information by emailing support@scorelyprep.com (Parents may make this request for a linked minor). Cancelling a subscription does not delete your account; deletion does not by itself refund fees, except as stated in these Terms.
15.2 By us. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service, our users or others. We may also discontinue the Service or close your account for any other reason; if we do so other than for your breach, we will refund any prepaid fees for the unused part of your billing period.
15.3 Survival. Sections that by their nature should survive termination survive, including Sections 5, 6.3, 11, 12, 13, 14, 17 and 18.
16. Third-party services
The Service relies on third-party services (for example, hosting, payments, email delivery and AI providers) and may link to third-party websites, including the College Board's. We do not control and are not responsible for third-party services, websites or content, and your use of them may be subject to their own terms.
17. Dispute resolution, binding arbitration and class-action waiver
17.1 Talk to us first. Before starting arbitration or a court case, you agree to send a written notice describing your claim and the relief you seek to support@scorelyprep.com, and to try in good faith to resolve it with us for at least 60 days. We will do the same, using the email address on your account. Any time limit for bringing a claim is paused during this period.
17.2 Agreement to arbitrate. Except as stated in Sections 17.4 and 17.8, you and we agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court. This includes disputes about the scope, validity or enforceability of this arbitration agreement, which the arbitrator will decide. This agreement is governed by the U.S. Federal Arbitration Act.
17.3 How arbitration works. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator. Arbitration may be held by video, by phone, based on written submissions, or in person in the county where you live. For claims you bring as a consumer, we will pay all AAA filing, administration and arbitrator fees beyond the amount you would have paid to file a claim in court, unless the arbitrator finds your claim frivolous. The arbitrator may award the same individual relief a court could, and the award may be entered in any court with jurisdiction.
17.4 Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek a court injunction to stop infringement or misuse of intellectual property or unauthorized access to the Service.
17.5 Class-action and jury-trial waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. You and we each waive the right to a jury trial. The arbitrator may not consolidate claims or award relief to anyone other than the individual party.
17.6 Mass filings. If 25 or more similar demands are filed against us by or with the help of the same or coordinated counsel, they will be administered in batches of up to 25, with one arbitrator per batch, and the parties will cooperate in good faith to resolve them efficiently.
17.7 If part of this section is unenforceable. If the class-action waiver in Section 17.5 is found unenforceable for a particular claim or request for relief, that claim or relief will be decided by a court (after any individual arbitration is complete), and the rest of Section 17 will still apply. If any other part of Section 17 is found unenforceable, the remainder will stay in effect.
17.8 Your right to opt out. You may opt out of this arbitration agreement by emailing support@scorelyprep.com within 30 days after you first accept these Terms, stating your name, the email address on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms. A Parent may opt out on behalf of a minor.
17.9 Courts and governing law. These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 17. Any dispute not subject to arbitration (including if you opt out) will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, USA, and you and we consent to their jurisdiction. If you are a consumer outside the United States, you may also have the right to bring proceedings in the courts where you live, and the mandatory consumer protections of your country continue to apply.
17.10 Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
18. General
18.1 Entire agreement. These Terms, together with the Privacy Policy and any plan terms shown at purchase, are the entire agreement between you and us about the Service and replace any prior agreements.
18.2 Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect.
18.3 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
18.4 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, including in connection with a merger, acquisition or sale of assets, if the assignee agrees to be bound by them.
18.5 Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of hosting, payment or AI providers.
18.6 Consumer rights. If you are a consumer, you may have statutory rights in your state or country that cannot be waived by contract. Nothing in these Terms affects those rights. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
